Job Title: Corporate Counsel

Position Overview: We are seeking a skilled and experienced Corporate Counsel to join our legal team. The Corporate Counsel will provide comprehensive legal support across all aspects of our business operations, ensuring compliance with laws and regulations, mitigating risks, and protecting the company’s interests.
Key Responsibilities:
- Legal Advisory: Provide expert legal advice and guidance to senior management and various departments on a wide range of legal issues, including corporate governance, commercial contracts, intellectual property, employment law, and regulatory compliance.
- Contract Management: Draft, review, and negotiate a variety of contracts, including vendor agreements, partnership agreements, leases, and licensing agreements.
- Compliance: Develop and implement compliance programs to ensure adherence to applicable laws and regulations. Conduct regular audits and training sessions to promote a culture of compliance within the organization.
- Risk Management: Identify and assess potential legal risks and develop strategies to mitigate them. Manage and resolve legal disputes and litigation matters.
- Corporate Governance: Assist in the preparation and maintenance of corporate records, including board resolutions, minutes, and other governance documents. Ensure compliance with corporate governance best practices.
- Mergers & Acquisitions: Provide legal support for mergers, acquisitions, and other strategic transactions, including due diligence, negotiation, and integration.
- Intellectual Property: Oversee the protection and enforcement of the company’s intellectual property rights, including trademarks, copyrights, and patents.
- Regulatory Affairs: Monitor and analyze changes in laws and regulations that may impact the company’s operations. Provide guidance on regulatory compliance and liaise with regulatory authorities as needed.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the state bar.
- Minimum of 3 years of experience in corporate or related law.
- Strong knowledge of corporate governance, contract law, intellectual property, employment law, and regulatory compliance.
- Excellent analytical, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong attention to detail and ability to manage multiple priorities.

Job Type: Full-time
Pay: $110,000.00 - $120,000.00 per year
