Madison Energy Infrastructure (“MEI”) believes in the power of clean energy infrastructure and has quickly emerged as a preeminent developer, investor, asset owner, and operator of distributed generation. This role represents a critical next step in MEI’s evolution toward offering direct, end-to-end services to Fortune 500 corporates, public entities, nonprofits, and other private customers alike.
The Counsel, Commercial Transactions will take the lead on drafting, reviewing and negotiating transaction documents for new project acquisitions, PPAs with customers and EPC agreements with construction partners. The ideal candidate will be commercially minded and serve as an advisor and strategic partner to other members of the transactional team, and will play a crucial role in securing new project acquisition and development. The Counsel, Commercial Transactions will need to balance those duties, while leading the diligence and closing processes for all external parties including, but not limited to, developers, EPCs, tax equity investors and lenders. This position requires strong analytical and communication skills, and the ability to juggle multiple, competing priorities on a regular basis.

Lead project due diligence and negotiation from Letter of Intent to final execution of all transactional and project documentation. This includes the documentation listed below.
- Manage corporate governance and risk management.
- Negotiate with external financing partners including, but not limited to, lenders, tax equity investors and MEI’s investors.
- Review and negotiate supply agreements with vendors.

Work directly with other teams across the company to ensure MEI is set up for success over the long-term project.

Engage and oversee external counsel and contractors as necessary.

Review, negotiate and prepare various corporate and transactional documents, including: Membership Interest Purchase Agreements and Asset Purchase Agreements, Power Purchase Agreements, Subscriber Agreements and Energy Service Agreements, EPC Agreements, O&M Agreements, Utility Interconnection Agreements, Land & Site Leases (including easements, licenses, etc.), SPV Corporate Formation Documents, Assignments & Estoppels, Letters of Intent/Term Sheets, Corporate and Board Resolutions, Tax Equity Partnership Documents, and Loan Agreements.

Juris Doctor from a reputable law school and an active state bar registration.

3+ years of experience at a top law firm, including experience leading transactions.
- Experience closing complex transactions involving multiple parties under aggressive timelines.
- Experience preparing and negotiating a broad range of corporate documents and transactional agreements.
- Experience in the solar industry is a plus.
