Job Summary:
The Associate Counsel serves as a pivotal member of the legal team, reporting directly to General Counsel. This role is integral in ensuring legal compliance and managing various contractual obligations. With a solid understanding of contract law, corporate law, employment law, and M&A dynamics, this individual plays a critical role in drafting, reviewing, and negotiating contracts while collaborating with external legal counsel on intricate legal issues.
In this role, you will:
- Coordinate Merger & Acquisition (M&A) due diligence activity, aligning closely with the M&A integration team.
- Support the preparation and submission of regulatory filings and statements in compliance with applicable laws and other regulatory requirements.
- Conduct legal research and analysis on various legal matters.
- Develop and implement overall risk management policies, procedures, and forms in line with corporate direction to identify business risks. Facilitate the risk management process as required across the company including providing training and assisting functional groups and departments.
- Develop working relationships with regulatory authorities in all jurisdictions where any corporate entity is authorized or licensed.
- Recommend and develop company policies and positions on legal issues and provide legal oversight and development of revised procedures where appropriate.
- Collaborate with HR and management teams to develop and implement policies and procedures that promote a fair and compliant workplace environment.
- Advise on employment-related matters to ensure compliance with labor regulations.
- Assist the General Counsel on claims and litigation related matters.
- Support the management of the intellectual property portfolio including copyrights, trademarks and patents.
- Counsel engineers and management on intellectual property (“IP”) related matters.
- Assist with IP risk assessments and projects as needed.
- Work independently as the lead attorney on assigned matters.
- Continually improve the efficiency and effectiveness of business processes, following all applicable best practices, processes and procedures.
- Draft contracts, legal memos, and other legal documents.
You will be a great fit if:
- A law degree from an ABA-accredited law school.
- A member in good standing of at least one state bar within the United States
- 3- 5 years demonstrated experience in corporate law and legal advisory roles within a corporate environment, preferably in an Architecture and Engineering firm.

- Able to work in a fast-paced environment with the ability to handle multiple, competing workloads with changing priorities to meet necessary deadlines.
- Excellent communication skills, both written and verbal, with the ability to convey complex legal concepts in a clear and concise manner.
- Strong analytical skills and attention to detail, coupled with the ability to identify and assess legal risks effectively.
