Overview:
Works to represent the interests of selling shareholders during the post-closing indemnification period of private target Mergers and Acquisitions (M&A) transactions within Global Capital Markets (GCM). Serves as the main point of contact with the client or referral source, including venture capital and private equity partners, c-suite executives, and top law firms. Manages dispute issues, including arbitration and litigation. Participates in the development of processes and controls within that business line and works with internal business partners as appropriate.
Primary Responsibilities:
Monitor multiple M&A transactions and issues of indemnification claims and disputes as well as comply with key dates related to our engagement on an ongoing basis.
Manage relationships, cultivating current and prospective clients and referral sources to uncover opportunities and potential sources of new M&A business.
Review, analyze and provide comments to counsel related to negotiation and drafting of acquisition agreements, including merger and stock purchase agreements to which the Shareholder Representative is a party.
Serve as primary contact for important clients, including venture capital and private equity partners and selling company executives, as well as outside counsel, including the opposing counsel in the M&A transaction to provide regular updates related to the transaction, inclusive of our point of view and take on the matter.
Review and analyze acquisition agreements to determine validity of indemnification claims and disputes. Draft appropriate acceptance or objection documentation based on findings of the agreement review.
Draft most deal-related correspondence, including any acceptance or objections to indemnification claims and disputes
Participate in sales calls to current and prospective clients, either in-person or over the phone, and prepare fee proposals to support new business opportunities.
Provide coverage and support for other Shareholder Representative colleagues as required by absence.
Understand and adhere to the Company’s risk and regulatory standards, policies and controls in accordance with the Company’s Risk Appetite. Identify risk-related issues needing escalation to management.
Promote an environment that supports diversity and reflects the M&T Bank brand.
Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable.
Complete other related duties as assigned.
Scope of Responsibilities:
This position is for a client-focused advanced paralegal or attorney to work in the Shareholder Representative business line of the Mergers and Acquisitions group within Global Capital Markets (GCM). The jobholder must be dedicated to problem-solving unique, high stakes issues and understanding the importance of building client relationships while project managing a number of issues and maintaining attention to detail.
Supervisory/Managerial Responsibilities:
Education and Experience Required:
- Juris Doctorate (JD) degree and a minimum of 1 years’ paralegal experience, or in lieu of a degree, a combined minimum of 8 years’ higher education and/or work experience, including a minimum of 1 years’ paralegal experience

Physical Requirements:
M&T Bank is committed to fair, competitive, and market-informed pay for our employees. The pay range for this position is $71,985.72 - $119,976.20 Annual (USD). The successful candidate’s particular combination of knowledge, skills, and experience will inform their specific compensation. The range listed above corresponds to our national pay range for this role. The specific pay range applicable to you may vary based on your location.
