Job Description
We are seeking an experienced Small Business Attorney to assist with legal matters for our growing business on an independent contractor basis. This role will primarily involve reviewing, drafting, and advising on various business documents, including contracts, Mutual Non-Disclosure Agreements (MNDA), Non-Disclosure Agreements (NDA), employment agreements, and other essential legal documentation. The ideal candidate must have expertise in HR, payroll, IRS regulations, international law, and compliance, with a specific focus on business transactions and legal protections for small businesses.
Key Responsibilities
- Business Document Review and Drafting
- Draft, review, and revise business contracts, including client and vendor agreements, partnership agreements, andMutual Non-Disclosure Agreements (MNDA).
- Prepare and customize Non-Disclosure Agreements (NDA) to protect confidential information in business dealings.
- Review, revise, and ensure compliance of employment contracts, independent contractor agreements, and other legal documents relevant to our operations.
- Ensure all legal documents align with current business laws and industry standards to protect the business's interests.
HR and Employment Law Compliance
- Advise on employment agreements, including employee and independent contractor classifications, ensuring compliance with U.S. labor laws (FLSA, IRS regulations) and international laws.
- Review and assist in the creation of employee handbooks, policies, and procedures related to HR compliance.
- Ensure the business’s HR practices meet IRS guidelines, payroll regulations, and other legal requirements related to compensation, benefits, and taxes.
IRS and Payroll Law Compliance
- Advise on U.S. payroll tax obligations and ensure compliance with tax filings, reporting, and withholding for employees and independent contractors (e.g., W-2, 1099, and VAT).
- Review and consult on the proper tax treatment of independent contractors and ensure proper documentation and compliance with IRS and local tax authorities.
- Provide guidance on managing payroll systems to ensure compliance with both U.S. and international payroll laws.
International Law and Compliance
- Provide legal guidance on international business operations, including cross-border tax regulations, labor laws, and compliance with international employment standards.
- Review and advise on international contracts and agreements, ensuring compliance with foreign jurisdictional laws (e.g., GDPR, local labor laws).
- Ensure international payroll compliance and advise on global tax obligations, including reporting and withholding requirements for foreign contractors and employees.
Risk Management and Legal Strategy
- Advise on risk management and help mitigate legal risks associated with contracts, HR, payroll, intellectual property, and international operations.
- Provide proactive legal counsel on how to manage and reduce exposure to potential legal issues across all business functions.
- Ensure all agreements and contracts are properly structured to protect the business from legal liabilities and disputes.
General Legal Support
- Offer ongoing legal advice on general business matters, including intellectual property protections, corporate governance, and dispute resolution.
- Provide clear, actionable guidance on how to handle legal disputes and enforce legal rights in various business situations.
- Maintain up-to-date knowledge on changing business laws, compliance regulations, and best practices in business document management.
Requirements
- At least 15 years of experience as a practicing attorney specializing in small business law, HR, payroll compliance, and international law.
- Proven experience in drafting and reviewing business documents, including NDAs, MNAs, contracts, employment agreements, and independent contractor agreements.
- Expertise in U.S. IRS regulations, tax compliance, and international labor and tax laws.
- Strong background in reviewing, advising, and structuring contracts and legal documents for small businesses.
Skills:
- In-depth knowledge of U.S. federal, state, and international employment laws, including HR, payroll, and tax regulations.
- Ability to draft, review, and negotiate complex business agreements (e.g., service contracts, NDAs, MNAs, vendor agreements).
- Excellent legal research skills to stay updated on changes to regulations.
- Strong attention to detail and ability to ensure that all legal documents are compliant with applicable laws.
- Excellent communication and problem-solving skills.
Qualifications:
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in the U.S.
- Experience with international law and cross-border business operations.

Pay: $105,667.00 - $118,387.00 per year
